Affiliate Program agreement
This Affiliate Program Agreement (“Agreement”) is intended to outline the terms and conditions for participation in the SPECTRALSOFT LLP Affiliate Program (“Affiliate Program”) and is a legally binding contract with you.
Your and Prospective Clients Registration.
Introduction.
Participation in the Affiliate Program as an “Affiliate” is open to individuals only.
For participate in the Affiliate Program you could register as Affiliate using link https://pulsedesk.com/agreement_ap or contact us at support@pulsedesk.com for our assistance in your registration.
After registration, you will receive a promotional code from us, which you can provide to a prospective client.
A Prospective Client may need to register for an Account using the special link. A Prospective Client will receive special conditions for the SPECTRALSOFT’S LLP service.
A Prospective Client may need to enter the promotional code provided by you in the registration form for your reward and for the special Client’s discount.
Discount means special Tariff for Prospective Client who indicate promotional code. The tariff is specified in the relevant agreement with the Prospective Client when he makes a qualified purchase as specified below.
SPECTRALSOFT LLP will inform you about the activation of your promotional code by a Prospective Client and will give you a reward in accordance with the terms of Agreement.

SPECTRALSOFT LLP will inform you about the activation of your promotional code by a Prospective Client and will give you a reward in accordance with the terms of Agreement.
Reward
You will be eligible to receive $20 Amazon gift card as a reward for each Prospective Client only if:
"Qualified Purchase" means the first/initial payment for the chosen Service period.
You will not be eligible to receive a reward for any subsequent purchases made by the Qualified Client.
“Qualified Client” means a Prospective Client who purchases a paid Service period.
- the Prospective Client is not an existing paid Client of SPECTRALSOFT’S LLP Service;
- the Prospective Client will choose a Tariff for once payment for 6- or 12-months Service period.
- the Prospective Client will made a Qualified Purchase;
"Qualified Purchase" means the first/initial payment for the chosen Service period.
You will not be eligible to receive a reward for any subsequent purchases made by the Qualified Client.
“Qualified Client” means a Prospective Client who purchases a paid Service period.
The issuance of a reward.
The reward will be issued to you only upon completion of forty-five (45) days from the date of the Qualified Purchase.
You will not be entitled to reward in case the Qualified Client will change the previously selected Tariff for 3- months Service period or will refuse the Service and will demand the return of the money paid.
The reward will be sent you to your e-mail address.
You will be responsible for payment of all taxes, duties, and charges levied on the Referral Fee, and you shall indemnify, defend and hold SPECTRALSOFT LLP harmless from and against any claims arising out or relating to non-payment of applicable taxes, duties, and charges.
You will not be entitled to reward in case the Qualified Client will change the previously selected Tariff for 3- months Service period or will refuse the Service and will demand the return of the money paid.
The reward will be sent you to your e-mail address.
You will be responsible for payment of all taxes, duties, and charges levied on the Referral Fee, and you shall indemnify, defend and hold SPECTRALSOFT LLP harmless from and against any claims arising out or relating to non-payment of applicable taxes, duties, and charges.
Term, changes to the Terms and Termination.
This Agreement will commence as of the date you receive an email from SPECTRALSOFT’S LLP confirming your appointment as an Affiliate and shall continue until terminated in accordance with the provisions contained in this Agreement:
SPECTRALSOFT LLP may modify the terms of this Agreement from time to time. However, you will be provided notice of such changes through an announcement or by e-mail. Upon being informed of such changes, you may either terminate this Agreement within fifteen days and cease participating in the Affiliate Program or accept the changes and continue to participate in the Affiliate Program. Your continued participation in the Affiliate Program after fifteen days from the date of notice of any such changes shall constitute your consent to such changes.
- Termination without cause: Either party may terminate this Agreement at any time, for any reason, by giving thirty (30) days’ notice through email.
- Termination for cause: Your failure to comply with any of the terms of this Agreement may result in a warning or immediate termination of this Agreement by SPECTRALSOFT LLP.
- Termination for discontinuation of the Affiliate Program: SPECTRALSOFT LLP reserves the right to discontinue the Affiliate Program. In the event SPECTRALSOFT LLP decides to discontinue the Affiliate Program, you will be provided with thirty (30) days’ notice through email.
SPECTRALSOFT LLP may modify the terms of this Agreement from time to time. However, you will be provided notice of such changes through an announcement or by e-mail. Upon being informed of such changes, you may either terminate this Agreement within fifteen days and cease participating in the Affiliate Program or accept the changes and continue to participate in the Affiliate Program. Your continued participation in the Affiliate Program after fifteen days from the date of notice of any such changes shall constitute your consent to such changes.
Disclaimers.
The Affiliate program and Service are provided "as is". SPECTRALSOFT LLP does not make any representation or warranty of any kind, whether express, implied, statutory, or otherwise with respect to the Affiliate Program or the Services. Except to the extent prohibited by applicable law, SPECTRALSOFT LLP disclaims all warranties with respect to the Affiliate Program and the Services including any implied warranties of merchantability, quiet enjoyment, non-infringement, and fitness for a particular purpose. SPECTRALSOFT LLP will not be responsible for any compensation, reimbursement, or damages arising in connection with termination of this agreement or your participation in the Affiliate program.
Limitation of liability.
SPECTRALSOFT LLP will not be liable to you or any third party for any special, incidental, indirect, punitive or exemplary or consequential damages, or damages for loss of business, loss of profits, business interruption, or loss of business information arising out of this Agreement even if SPECTRALSOFT LLP has been advised of the possibility of such damages. SPECTRALSOFT’S LLP entire liability with respect to this Agreement and the Affiliate Program shall not exceed the US$20.
Embargos.
In case you or a Potential Client have restrictions in place that regulate or ban all trade with UK SPECTRASOFT LLP does not allow you or a Potential Client to participate in the Affiliate Program.

Relationship of Parties.
The relationship between you and SPECTRASOFT LLP is non-exclusive. This Agreement shall not be construed as creating a partnership, joint venture, agency or any other relationship. You are not authorized to enter into any contract or to assume any obligation on behalf of SPECTRASOFT LLP.
Compliance with Applicable Laws.
The Parties will make every effort to resolve all disputes and disagreements through negotiations arising from the fulfillment of this Agreement or in connection with it.
In case of failure to reach a compromise through negotiations, a claims procedure for resolving disputes is mandatory.
Your claim will be considered by SPECTRASOFT LLP within a period not exceeding 14 (fourteen) working days from the date of receipt of the claim.
If it is impossible to settle disputes and disagreements through negotiation or the claims procedure, the subject of the dispute is subject to consideration by the Specialized Court of England and Wales.
In case of failure to reach a compromise through negotiations, a claims procedure for resolving disputes is mandatory.
Your claim will be considered by SPECTRASOFT LLP within a period not exceeding 14 (fourteen) working days from the date of receipt of the claim.
If it is impossible to settle disputes and disagreements through negotiation or the claims procedure, the subject of the dispute is subject to consideration by the Specialized Court of England and Wales.
